1. Acceptance of Terms

By accessing and using the NovaWeb Studios website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

NovaWeb Studios provides web design and development services, including but not limited to:

  • WordPress website design and development
  • Shopify store setup and customization
  • Custom CMS solutions
  • Website maintenance and support
  • Consulting services

Specific deliverables, timelines, and costs will be outlined in individual project proposals.

3. Project Proposals and Agreements

Each project begins with a proposal outlining scope, deliverables, timeline, and pricing. Upon acceptance and receipt of deposit, the proposal becomes a binding agreement between both parties.

4. Payment Terms

Pricing

All prices are quoted in GBP unless otherwise stated. Quotes are valid for 30 days from issue.

Payment Schedule

Standard payment terms:

  • 50% deposit required to commence work
  • 25% upon milestone approval (if applicable)
  • 25% upon project completion, before final delivery

Late Payments

Invoices are due within 14 days of issue. Late payments may incur a fee of 5% per month on the outstanding balance.

5. Client Responsibilities

To ensure project success, clients agree to:

  • Provide necessary content, images, and information in a timely manner
  • Respond to queries and approval requests within reasonable timeframes
  • Provide accurate and complete information
  • Ensure they have rights to all content provided for use on the website

Delays caused by client responsiveness may affect project timelines.

6. Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions beyond the agreed scope will be charged at our hourly rate.

Major changes to project scope after work has commenced may require a revised proposal and additional fees.

7. Intellectual Property

Client Content

Clients retain ownership of all content, logos, and materials they provide to NovaWeb Studios.

Work Product

Upon full payment, clients receive ownership of the custom website design and code created specifically for their project.

Tools and Frameworks

NovaWeb Studios retains ownership of pre-existing tools, frameworks, and methodologies used in development. Clients receive a licence to use these as part of their website.

Portfolio Rights

NovaWeb Studios reserves the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

8. Third-Party Services

Websites may require third-party services such as hosting, domain registration, plugins, or APIs. Clients are responsible for:

  • Costs associated with third-party services
  • Compliance with third-party terms of service
  • Maintaining accounts and credentials

NovaWeb Studios is not responsible for third-party service failures or changes.

9. Warranties and Disclaimers

Our Warranty

NovaWeb Studios warrants that:

  • We will perform services in a professional manner
  • The website will function as specified in the project agreement
  • We will provide support as outlined in the agreement

Disclaimer

Except as expressly stated, our services are provided "as is". We do not warrant that:

  • The website will be error-free or uninterrupted
  • The website will meet all client requirements not specified in the agreement
  • The website will be compatible with all devices and browsers (unless specified)

10. Limitation of Liability

To the maximum extent permitted by law, NovaWeb Studios shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business
  • Data loss or corruption
  • Third-party claims against the client

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

11. Project Cancellation

Client Cancellation

Clients may cancel a project at any time. Upon cancellation:

  • Deposit is non-refundable
  • Client pays for work completed up to cancellation date
  • Client receives work completed to date upon full payment

Our Cancellation

NovaWeb Studios reserves the right to cancel projects with appropriate notice. In such cases, we will refund payment for work not completed.

12. Support and Maintenance

Post-launch support is provided as specified in the project agreement. After the included support period, maintenance services are available at our current hourly rate or through a separate maintenance agreement.

13. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. This obligation survives termination of the agreement.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemics, or internet outages.

15. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of updated terms.
